CONTENT PROVIDER AGREEMENT

This Content Provider Agreement (“Agreement”) is entered into between:

HDA DIGITAL LTD, Tax Identification Number 60168445G, Registration Number HE 474848, with its registered office at 30 Pireos Street, Floor 1, Office 1, Strovolos, 2023 Nicosia, Cyprus (the “Company”, “we”, “us”),

and

the individual or entity registering as a content creator on 4fans.tv (the “Content Provider”, “you”, “your”).

This Agreement forms an integral part of the Terms of Service and governs your activity as a content creator on the Platform.

By registering as a content creator and checking the acceptance box, you confirm that you have read, understood, and agreed to this Agreement.

1. Legal Compliance

You agree to comply with:

• all applicable laws and regulations,

• the Platform’s Terms of Service,

• this Agreement and all incorporated policies.

You must not upload, publish, or distribute any content that is illegal or violates Platform rules, including but not limited to content involving minors, violence, coercion, or non-consensual acts.

2. Age, Consent & Verification

You confirm and warrant that:

• all persons appearing in your content are at least 18 years of age at the time of content creation;

• all persons appearing in your content have provided explicit, informed, and voluntary consent to be recorded and to have the content distributed on the Platform;

• you have obtained written consent from each person depicted, including consent for public distribution and monetization;

• no person appearing in your content is under coercion, pressure, or threat.

You agree to retain all age verification records and consent documentation and to provide them to the Company upon reasonable request.

3. Identity & Liveness Verification (KYC)

To protect users and comply with legal obligations, the Company requires identity and age verification.

• Verification is conducted through SumSub, a third-party KYC and liveness verification provider.

• You agree to submit valid identification documents and complete liveness checks.

• Failure to complete or maintain verification may result in suspension, termination, or withholding of payouts.

​4. Intellectual Property & License

• You represent that you own all rights to the content you upload or have obtained all necessary licenses and permissions.
• You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and make your content available through the Platform for operational and promotional purposes.
• This license remains valid for as long as the content is available on the Platform.
• This license includes the use of the Content Provider’s image, likeness, voice, and persona as displayed in the content uploaded to the Platform.

5. Content Monetization & Payments

Content may be monetized through subscriptions, pay-per-view content, tips, or other Platform features.

• Revenue share and payout rules are defined by the Platform.

• You are responsible for providing accurate payout information.

• The Company may set minimum payout thresholds and processing schedules.

6. Taxes & Financial Responsibility

You acknowledge that:

• ​all payments made to you are gross amounts;
• the Company does not withhold or pay taxes on your behalf;
• you are solely responsible for reporting and paying any applicable taxes, duties, or social contributions in your jurisdiction.
• The Company does not provide tax advice.

7. Removal of Content

You may request removal of your own content by contacting support@4fans.tv.

The Company reserves the right to remove or restrict access to any content at its sole discretion, including where content violates laws, Platform rules, or third-party rights.

7a. Content Review and Moderation

All creator accounts and user-generated content are subject to review and moderation by the Company prior to publication to ensure compliance with applicable laws, card network rules, and platform standards.

Publication of any content is conditional upon successful completion of creator verification and account approval.

The Company reserves the right to approve, restrict, remove, suspend, or disable access to any content or creator account at its sole discretion.

8. Suspension & Termination

The Company may suspend or terminate your creator account:

• for breach of this Agreement or the Terms of Service,

• for failure to complete verification,

• for conduct harmful to the Platform or its users,

• with or without notice and with or without stating a reason, where permitted by law.

9. Forfeiture of Earnings

In cases involving serious violations, including but not limited to:

• underage content,

• non-consensual content,

• fraud,

• exploitation or human trafficking,

the Company reserves the right to withhold or forfeit unpaid earnings and to report such activity to relevant authorities.

10. Dispute Resolution & Appeals

If a dispute arises regarding:

• content ownership,

• consent,

• takedown requests,

and no resolution is reached, the matter may be escalated to a neutral third party for independent review and decision.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

• loss of income or profits,

• removal or unavailability of content,

• actions of users or third parties,

• technical interruptions.

12. Governing Law & Jurisdiction

This Agreement is governed by the laws of Cyprus.
Any disputes shall be resolved exclusively by the courts of Nicosia, Cyprus.

13. Final Provisions

If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in full force and effect.
